《词元™ · 羚展云软件许可及服务协议》（以下简称 “本协议”）是由用户（以下简称 “您”）【使用者的姓名、联系方式、个人信息等信息，根据不同用户类型填写不同信息】与羚展云数字科技（山东）有限公司（以下简称 “词元™ · 羚展云”）之间关于用户下载、安装、使用 “词元™ · 羚展云旗下软件及平台”（以下简称 “本软件”）（包括但不限于 PC 端及移动电话、PDA 等各种手持终端版本）的软件协议。This "ciyuan™ · Lingzhan Cloud Software License and Service Agreement" (hereinafter referred to as "this Agreement") is a software agreement concluded between the user (hereinafter referred to as "you") [the user’s name, contact information, personal data and other information, which shall be filled in according to different user types] and Lingzhan Cloud Digital Technology (Shandong) Co., Ltd. (hereinafter referred to as "ciyuan™ · Lingzhan Cloud") regarding your downloading, installation and use of the "Software and Platforms under ciyuan™ · Lingzhan Cloud" (hereinafter referred to as "the Software"), including but not limited to versions for PC, mobile phones, PDAs and other handheld terminals.
您上传的信息、联系方式、个人信息同意开放给平台进行相关功能使用，如果不同意可以手动关闭。You consent that the information, contact details and personal data you upload may be used by the platform for relevant functions; if you do not agree, you may manually disable such access.
为了更好地为你提供服务和使用本软件及服务，您应当阅读并遵守本协议。请您务必审慎阅读、充分理解各条款内容，特别是免除或者限制责任的条款，以及开通或使用某项服务的单独协议，并选择接受或不接受。限制、免责条款可能以加粗形式提示您注意。To better provide you with services and enable your use of the Software and related services, you shall read and comply with this Agreement. Please carefully read and fully understand all terms, especially those exempting or limiting liability, as well as separate agreements for activating or using certain services, and choose to accept or reject them. Terms limiting or exempting liability may be highlighted in bold for your attention.
除非您已阅读并接受本协议所有条款，否则您无权下载、安装或使用本软件及相关服务。您的下载、安装、使用、登录等行为即视为您已阅读并同意上述协议的约束。Unless you have read and accepted all terms of this Agreement, you are not entitled to download, install or use the Software and related services. Your acts of downloading, installing, using or logging in shall be deemed as your having read and agreed to be bound by this Agreement.
如果您未满 18 周岁，请在法定监护人的陪同下阅读本协议及其他上述协议，并征得法定监护人的同意后使用词元™ · 羚展云软件及相关服务，并特别注意未成年人使用条款。If you are under the age of 18, please read this Agreement and other aforementioned agreements accompanied by your legal guardian, and use ciyuan™ · Lingzhan Cloud software and related services only after obtaining the consent of your legal guardian, paying special attention to the Terms for Minors.
如你不同意本协议，这将导致我们无法为你提供完整的产品和服务，你也可以选择停止使用。如你自主选择同意或使用 “词元™ · 羚展云” 软件及相关服务，则视为你已充分理解本协议，并同意作为本协议的一方当事人接受本协议以及其他与 “词元™ · 羚展云” 软件及相关服务相关的协议和规则的约束。If you do not agree to this Agreement, we will be unable to provide you with complete products and services, and you may choose to discontinue use. If you voluntarily choose to agree to or use ciyuan™ · Lingzhan Cloud software and related services, you shall be deemed to have fully understood this Agreement and agreed, as a party hereto, to be bound by this Agreement and other agreements and rules related to ciyuan™ · Lingzhan Cloud software and related services.
2. 协议的范围
2.1 协议适用主体范围
本协议是您与羚展云数字科技（山东）有限公司之间关于您下载、安装、使用、复制本软件，以及使用词元™ · 羚展云相关服务所订立的协议。“企业用户” 是指注册、登录、使用词元™ · 羚展云软件及服务并获得管理权限的个人或组织，在本协议中更多地称为 “您”。“最终用户” 是指通过软件注册具有使用权限的个人和企业用户。前述 “企业用户” 及 “最终用户” 统称为 “用户” 或 “所有用户”。This Agreement is concluded between you and Lingzhan Cloud Digital Technology (Shandong) Co., Ltd. regarding your downloading, installation, use and copying of the Software and your use of related services of ciyuan™ · Lingzhan Cloud. "Enterprise User" means an individual or organization that registers, logs in and uses ciyuan™ · Lingzhan Cloud software and services and obtains administrative permissions, and is mostly referred to as "you" in this Agreement. "End User" means individuals and enterprise users who register through the Software and obtain usage rights. The aforesaid "Enterprise Users" and "End Users" are collectively referred to as "users" or "all users".
3. 关于本服务
3.1 本服务的内容
本服务内容是指词元™ · 羚展云向用户提供的展会信息软件工具，支持单人、多人参与，发布图片和文字的展会信息及行业交流沟通服务（以下简称 “本服务”）。The Service refers to the exhibition information software tools provided by ciyuan™ · Lingzhan Cloud to users, supporting single or multiple participants to publish exhibition information in the form of pictures and texts, as well as industry communication services (hereinafter referred to as "the Service").
3.2 本服务的形式
3.2.1
您使用本服务需要注册帐号并下载词元™ · 羚展云客户端软件，词元™ · 羚展云将向您提供企业或个人的管理权限、使用功能和使用说明等服务，并尽应有之努力保障本服务的正常运行。To use the Service, you need to register an account and download the ciyuan™ · Lingzhan Cloud client software. ciyuan™ · Lingzhan Cloud will provide you with services such as enterprise or individual administrative permissions, usage functions and instructions, and shall use reasonable efforts to ensure the normal operation of the Service.
3.2.2
本服务中词元™ · 羚展云客户端软件提供包括但不限于 iOS、Android 两个应用版本，用户必须选择与所安装终端设备相匹配的软件版本。词元™ · 羚展云会不断丰富应用版本等，如您已注册使用一种版本的服务，则可以以同一帐号使用其他版本的服务，本协议自动适用于您所使用的所有版本的软件和服务。The ciyuan™ · Lingzhan Cloud client software for the Service includes but is not limited to iOS and Android versions. You must select the software version compatible with your terminal device. ciyuan™ · Lingzhan Cloud will continuously enrich application versions. If you have registered and used one version of the Service, you may use other versions with the same account, and this Agreement shall automatically apply to all versions of the software and services you use.
3.3 本服务许可的范围
3.3.1
词元™ · 羚展云给予您一项不可转让的、非排他性的许可，以使用本软件。ciyuan™ · Lingzhan Cloud grants you a non-transferable, non-exclusive license to use the Software.
3.3.2
您可以为使用本软件及服务的目的复制本软件的一个副本，仅用作备份。备份副本必须包含原软件中含有的所有著作权信息。You may make one copy of the Software for backup purposes only for the use of the Software and services. The backup copy must retain all copyright notices contained in the original Software.
3.3.3
本条及本协议其他条款未明示授权的其他一切权利仍由词元™ · 羚展云保留，您在行使这些权利时须另外取得词元™ · 羚展云的书面许可。词元™ · 羚展云如果未行使前述任何权利，并不构成对该权利的放弃。All other rights not expressly authorized under this Article or other provisions of this Agreement are reserved by ciyuan™ · Lingzhan Cloud, and you shall obtain ciyuan™ · Lingzhan Cloud’s written permission before exercising such rights. Failure by ciyuan™ · Lingzhan Cloud to exercise any of the aforesaid rights shall not constitute a waiver of such rights.
4. 软件的获取
4.1
您可以直接从词元™ · 羚展云的网站上获取本软件，也可以从公司已授权的第三方应用市场获取，若你并非从公司或经公司授权的第三方获取本软件的，公司无法保证非官方版本的 “词元™ · 羚展云” 软件能够正常使用，你因此遭受的损失与公司无关。You may obtain the Software directly from ciyuan™ · Lingzhan Cloud’s official website or from authorized third-party application markets. If you obtain the Software from sources other than ciyuan™ · Lingzhan Cloud or its authorized third parties, Lingzhan Cloud Digital Technology (Shandong) Co., Ltd. cannot guarantee the normal use of non-official versions of ciyuan™ · Lingzhan Cloud software, and any losses you suffer therefrom shall be irrelevant to Lingzhan Cloud Digital Technology (Shandong) Co., Ltd.
5. 软件的安装与卸载
5.1
词元™ · 羚展云为不同的终端设备开发了不同的软件版本，您应当根据实际情况选择下载合适的版本进行安装。ciyuan™ · Lingzhan Cloud has developed different software versions for various terminal devices. You shall select and install the appropriate version according to your actual situation.
5.2
下载安装程序后，您需要按照该程序提示的步骤正确安装。After downloading the installer, you shall follow the on-screen instructions to complete the installation correctly.
5.3
如果您不再需要使用本软件或者需要安装新版软件，可以自行卸载。If you no longer need to use the Software or need to install a new version, you may uninstall it on your own.
6. 软件的更新
6.1
为了改善用户体验、完善服务内容，词元™ · 羚展云将不断努力开发新的服务，并为您不时提供软件更新（这些更新可能会采取软件替换、修改、功能强化、开发新服务、版本升级等形式）。To improve user experience and service content, ciyuan™ · Lingzhan Cloud will continuously develop new services and provide you with software updates from time to time (which may take the form of software replacement, modification, function enhancement, new service development, version upgrade, etc.).
6.2
为了保证本软件及服务的安全性和功能的一致性，词元™ · 羚展云有权不经向您特别通知而对软件进行更新，或者对软件的部分功能效果进行改变或限制。To ensure the security and functional consistency of the Software and services, ciyuan™ · Lingzhan Cloud reserves the right to update the Software or change or restrict partial functions of the Software without special notice to you.
6.3
本软件新版本发布后，旧版本的软件可能无法使用。词元™ · 羚展云不保证旧版本软件及相应的客户服务继续可用，请您随时核对并下载最新版本。After the release of a new version of the Software, older versions may become unavailable. ciyuan™ · Lingzhan Cloud does not guarantee the continued availability of older versions and corresponding customer services. Please check and download the latest version at any time.
6.4
您同意，词元™ · 羚展云可能通过公告、更新日志等方式向用户通知软件更新情况，但词元™ · 羚展云不需向您特别通知。You agree that ciyuan™ · Lingzhan Cloud may notify you of software updates via announcements, update logs or other means, but ciyuan™ · Lingzhan Cloud is not required to send you special notifications.
7. 用户信息保护
7.1
保护用户信息是词元™ · 羚展云的一项基本原则，词元™ · 羚展云将会采取合理的措施保护用户的信息。除法律法规规定的情形外，未经用户许可词元™ · 羚展云不会向第三方公开、透露用户信息。词元™ · 羚展云对相关信息采用专业加密存储与传输方式，保障用户信息的安全。Protecting user information is a fundamental principle of ciyuan™ · Lingzhan Cloud. ciyuan™ · Lingzhan Cloud will take reasonable measures to protect your information. Except as required by laws and regulations, ciyuan™ · Lingzhan Cloud will not publicly disclose or reveal your information to third parties without your permission. ciyuan™ · Lingzhan Cloud uses professional encryption for storage and transmission to safeguard the security of your information.
7.2
您在注册帐号或使用本服务的过程中，需要提供一些必要的信息，例如：为向您提供帐号注册服务或进行用户身份识别，需要您填写手机号码等。若国家法律法规或政策有特殊规定的，您需要提供真实的身份信息。若您提供的信息不完整，则无法使用本服务或在使用过程中受到限制。During account registration or use of the Service, you may need to provide necessary information, such as your mobile phone number for account registration or identity verification. If required by national laws, regulations or policies, you shall provide true identity information. Incomplete information may result in restricted or unavailable access to the Service.
7.3
一般情况下，您可随时浏览、修改自己提交的信息，但出于安全性和身份识别（如号码申诉服务）的考虑，您可能无法修改注册时提供的初始注册信息及其他验证信息。Generally, you may view and modify your submitted information at any time. However, for security and identity verification purposes (e.g., account recovery services), you may not be able to modify initial registration information or other verification information.
7.4
词元™ · 羚展云将运用各种安全技术和程序建立完善的管理制度来保护您的个人信息，以免遭受未经授权的访问、使用或披露。ciyuan™ · Lingzhan Cloud will use various security technologies and procedures to establish a sound management system to protect your personal information from unauthorized access, use or disclosure.
7.5
我们会遵循隐私政策收集、使用您的信息，但不会仅因您同意本隐私政策而采用强制捆绑的方式一揽子收集个人信息。We will collect and use your information in accordance with the Privacy Policy, but will not compulsorily bundle the collection of personal information solely because you have agreed to this Privacy Policy.
7.6
当您使用相关功能或使用服务时，为实现功能、服务所必需，我们会收集、使用相关信息，您也可以选择手动关闭。When you use relevant functions or services, we will collect and use necessary information to fulfill such functions or services, and you may choose to manually disable such collection.
7.7
企业用户应当建立信息安全保护制度并对最终用户进行信息安全教育，包括但不限于：将管理权限交予适当的人选；合理设定相关人员的管理权限；提醒或要求最终用户注意信息安全和帐号安全，防止帐号被他人使用而导致的信息泄露。Enterprise Users shall establish an information security protection system and provide information security education to End Users, including but not limited to: assigning administrative permissions to appropriate personnel; reasonably setting administrative permissions for relevant staff; reminding or requiring End Users to protect information and account security to prevent information leakage caused by unauthorized account use.
7.8
未经您的同意，词元™ · 羚展云不会向词元™ · 羚展云以外的任何公司、组织和个人披露您的个人信息，但法律法规另有规定的除外。Without your consent, ciyuan™ · Lingzhan Cloud will not disclose your personal information to any companies, organizations or individuals outside ciyuan™ · Lingzhan Cloud, except as otherwise required by laws and regulations.
7.9
词元™ · 羚展云非常重视对未成年人个人信息的保护。若您是 18 周岁以下的未成年人，在使用词元™ · 羚展云的服务前，应事先取得您家长或法定监护人的书面同意。ciyuan™ · Lingzhan Cloud attaches great importance to the protection of minors’ personal information. If you are a minor under the age of 18, you shall obtain the written consent of your parent or legal guardian before using ciyuan™ · Lingzhan Cloud services.
7.10
您应对通过本服务了解、接收或可接触到的包括但不限于其他用户在内的任何人的个人信息予以充分尊重，您不应以搜集、复制、存储、传播或以其他任何方式使用其他用户的个人信息，否则，由此产生的后果由您自行承担。You shall fully respect the personal information of any person you access, receive or come into contact with through the Service, including but not limited to other users. You shall not collect, copy, store, disseminate or otherwise use other users’ personal information; otherwise, you shall bear all consequences arising therefrom.
8. 帐号使用规范
8.1.1
企业帐号的所有权归羚展云数字科技（山东）有限公司所有，用户完成申请注册手续后，仅获得企业帐号的使用权，您不得赠与、借用、租用、转让或售卖企业帐号或者以其他方式许可他人使用。The ownership of enterprise accounts belongs to Lingzhan Cloud Digital Technology (Shandong) Co., Ltd. Upon completion of registration, you only obtain the right to use the enterprise account, and you may not gift, lend, lease, transfer or sell the enterprise account or permit others to use it by any other means.
8.1.2
您应当按照法律法规和服务要求，按相应页面的提示准确提供并及时更新用户的资料，以使之真实、及时，完整和准确。您承诺不得冒充他人进行注册，不得未经许可为他人注册，不得以可能误导其他用户的方式注册帐号，不得使用可能侵犯他人权益的用户名进行注册（包括但不限于涉嫌商标权、名誉权侵权等），否则词元™ · 羚展云有权注销该帐号。You shall accurately provide and timely update your information as prompted on the relevant pages in accordance with laws, regulations and service requirements to ensure such information is true, up-to-date, complete and accurate. You undertake not to register on behalf of others without permission, register in a manner that may mislead other users, or use usernames that may infringe upon others’ rights (including but not limited to trademark rights, reputation rights). Otherwise, ciyuan™ · Lingzhan Cloud reserves the right to cancel such accounts.
8.1.3
您有责任妥善保管注册帐户信息及帐户密码的安全，需要对注册帐户以及密码下的行为承担法律责任。您同意在任何情况下不向他人透露帐户及密码信息。当在您怀疑他人在使用您的帐号时，您应立即通知词元™ · 羚展云公司。You are responsible for keeping your registered account information and password secure, and shall bear legal liability for all activities conducted under your account and password. You agree not to disclose your account or password to others under any circumstances. If you suspect unauthorized use of your account, you shall immediately notify ciyuan™ · Lingzhan Cloud.
8.1.4
用户注册企业帐号后如果长期不登录该帐号，词元™ · 羚展云有权回收该帐号，以免造成资源浪费，由此带来的任何损失均由您自行承担。If you do not log in to your registered enterprise account for a long period of time, ciyuan™ · Lingzhan Cloud reserves the right to reclaim the account to avoid resource waste, and you shall bear any losses arising therefrom.
8.1.5
您确认，在您完成注册程序或以其他词元™ · 羚展云允许的方式实际使用服务时，您应当是具备完全民事权利能力和与所从事的民事行为相适应的行为能力的自然人、法人或其他组织。若您不具备前述主体资格，请勿使用本服务，否则您及您的监护人应承担因此而导致的一切后果，且词元™ · 羚展云有权注销（永久冻结）您的账户，给羚展云数字科技（山东）有限公司造成损失的，词元™ · 羚展云有权向您追偿。如您代表一家公司或其他法律主体进行注册或以其他词元™ · 羚展云允许的方式实际使用本服务的，则您声明和保证，您有权使该公司或该法律主体受本协议的约束。You confirm that when you complete the registration process or actually use the services in other ways permitted by ciyuan™ · Lingzhan Cloud, you shall be a natural person, legal person or other organization with full civil capacity and capacity for civil conduct appropriate to your civil activities. If you do not have such qualification, please do not use the Service; otherwise, you and your guardian shall bear all consequences, and ciyuan™ · Lingzhan Cloud reserves the right to cancel (permanently freeze) your account and claim compensation from you for any losses caused to Lingzhan Cloud Digital Technology (Shandong) Co., Ltd. If you register on behalf of a company or other legal entity or actually use the Service in other ways permitted by ciyuan™ · Lingzhan Cloud, you declare and warrant that you have the authority to bind such company or legal entity to this Agreement.
8.2 用户注意事项
8.2.1
您理解并同意：为了向您提供有效的服务，本软件会利用您终端设备的处理器和带宽等资源。本软件使用过程中可能产生数据流量的费用，用户需自行向运营商了解相关资费信息，并自行承担相关费用。You understand and agree that to provide effective services, the Software will use resources such as your terminal device’s processor and bandwidth. Data traffic fees may incur during use, and you shall consult your operator for relevant tariff information and bear such fees yourself.
8.2.2
您理解并同意词元™ · 羚展云将会尽其商业上的合理努力保障您在本软件及服务中的数据存储安全，但是，词元™ · 羚展云并不能就此提供完全保证，包括但不限于以下情形：You understand and agree that ciyuan™ · Lingzhan Cloud will use commercially reasonable efforts to ensure the security of your data storage in the Software and services, but ciyuan™ · Lingzhan Cloud cannot provide absolute guarantees, including but not limited to the following circumstances:
8.2.2.1
词元™ · 羚展云不对您在本软件及服务中相关数据的删除或储存失败负责；ciyuan™ · Lingzhan Cloud shall not be liable for the deletion or storage failure of your relevant data in the Software and services;
8.2.2.2
词元™ · 羚展云有权根据实际情况自行决定用户在本软件及服务中数据的最长储存期限，并在服务器上为其分配数据最大存储空间等。您可根据自己的需要自行备份本软件及服务中的相关数据；ciyuan™ · Lingzhan Cloud reserves the right to determine the maximum storage period and allocated storage space for your data in the Software and services based on actual conditions. You may back up relevant data on your own;
8.2.2.3
如果您停止使用本软件及服务或服务被终止、取消，词元™ · 羚展云可以从服务器上永久地删除您的数据。服务停止、终止或取消后，词元™ · 羚展云没有义务向您返还任何数据。If you discontinue use of the Software and services or the services are terminated or canceled, ciyuan™ · Lingzhan Cloud may permanently delete your data from servers. ciyuan™ · Lingzhan Cloud shall have no obligation to return any data to you after service suspension, termination or cancellation.
8.2.3
用户在使用本软件及服务时，须自行承担如下来自词元™ · 羚展云不可掌控的风险内容，包括但不限于：When using the Software and services, you shall bear risks beyond ciyuan™ · Lingzhan Cloud’s control, including but not limited to:
8.2.3.1
由于不可抗拒因素可能引起的用户信息丢失、泄漏等风险；Risk of user information loss or leakage caused by force majeure;
8.2.3.2
用户必须选择与所安装终端设备相匹配的软件版本，否则，由于软件与终端设备型号不相匹配所导致的任何问题或损害，均由用户自行承担；Any problems or damages caused by using an incompatible software version for your terminal device;
8.2.3.3
用户发布的内容被他人转发、分享，因此等传播可能带来的风险和责任；Risks and liabilities arising from the forwarding and sharing of content you publish;
8.2.3.4
由于网络信号不稳定、网络带宽小等网络原因，所引起的词元™ · 羚展云用户登录失败、资料同步不完整、页面打开速度慢等风险。Risks such as login failure, incomplete data synchronization and slow page loading caused by network issues (unstable signals, insufficient bandwidth, etc.).
8.3 第三方产品和服务
8.3.1
您在使用本软件第三方提供的产品或服务时，除遵守本协议约定外，还应遵守第三方的用户协议。词元™ · 羚展云和第三方对可能出现的纠纷在法律规定和约定的范围内各自承担责任。When using third-party products or services provided through the Software, you shall comply with the third-party user agreements in addition to this Agreement. ciyuan™ · Lingzhan Cloud and the third party shall bear their respective liabilities for possible disputes within the scope prescribed by law and agreement.
8.3.2
因用户使用本软件或要求词元™ · 羚展云提供特定服务时，本软件可能会调用第三方系统或者通过第三方支持用户的使用或访问，使用或访问的结果由该第三方提供，词元™ · 羚展云不保证通过第三方提供服务及内容的安全性、准确性、有效性及其他不确定的风险，由此若引发的任何争议及损害，与词元™ · 羚展云无关，词元™ · 羚展云不承担任何责任。When you use the Software or request specific services from ciyuan™ · Lingzhan Cloud, the Software may call third-party systems or rely on third parties to support your use or access. The results are provided by such third parties. ciyuan™ · Lingzhan Cloud does not guarantee the security, accuracy, effectiveness or other risks of third-party services and content. Any disputes or damages arising therefrom shall be irrelevant to ciyuan™ · Lingzhan Cloud, which shall bear no liability.
8.3.3
您理解并同意，词元™ · 羚展云有权决定将本软件作商业用途，包括但不限于开发、使用本软件的部分服务为第三方作推广等，词元™ · 羚展云承诺在推广过程中严格按照本协议约定保护用户信息。You understand and agree that ciyuan™ · Lingzhan Cloud reserves the right to use the Software for commercial purposes, including but not limited to developing and using partial functions of the Software to promote third parties. ciyuan™ · Lingzhan Cloud undertakes to protect your information strictly in accordance with this Agreement during promotion.
9. 用户行为规范
9.1 信息内容规范
9.1.1
本条所述信息内容是指用户使用本软件及服务过程中所制作、复制、发布、传播的任何内容，包括但不限于企业帐号头像、名称、用户说明等注册信息，或文字、语音、视频、图片等发送、回复、公告和相关链接页面，以及其他使用企业帐号或本软件及服务所产生的内容。Information content under this Article refers to any content created, copied, published or disseminated by you during the use of the Software and services, including but not limited to registration information (avatar, name, user description), text, voice, video, images, replies, announcements, links, and other content generated through your enterprise account or use of the Software and services.
9.1.2
您理解并同意，词元™ · 羚展云一直致力于为用户提供文明健康、规范有序的网络环境，您不得利用企业帐号或本软件及服务制作、复制、发布、传播如下干扰词元™ · 羚展云软件正常运营，以及侵犯其他用户或第三方合法权益的内容，包括但不限于：You understand and agree that ciyuan™ · Lingzhan Cloud is committed to providing a civilized, healthy, standardized and orderly network environment. You shall not use your enterprise account or the Software and services to create, copy, publish or disseminate content that interferes with the normal operation of ciyuan™ · Lingzhan Cloud software or infringes upon the legitimate rights and interests of other users or third parties, including but not limited to:
9.1.2.1
发布、传播、储存违反国家法律法规禁止的内容：
（1）违反宪法确定的基本原则的；

（10）以非法民间组织名义活动的；
（11）含有法律、行政法规禁止的其他内容的。
